Terms of service

• Organization: your workspace in EasyHaus, with its own data, members, portal and subscription.
• Member: a person you invite to the manager app, with a role of owner, admin, manager or viewer.
• Client: an investor or prospective investor whose record you keep in EasyHaus.
• Portal user: a person you invite to your client portal, linked to one or more clients.
• Customer Data: all data that you, your members or your portal users put into the service, including personal data of your clients.

EasyHaus provides software to manage properties, clients, documents, offerings, orders, cap tables, distributions, statements and a client portal. We may improve and change the service. We will not remove a core function you depend on without reasonable notice.

• EasyHaus does not provide investment, legal, tax or regulatory advice, and does not recommend any investment.
• EasyHaus does not accept, process, hold, transfer or safeguard payments or funds of your clients. Clients pay you directly, outside EasyHaus; the service only records payments you enter.
• EasyHaus is not a broker, dealer, exchange, investment firm, fund manager, custodian or crowdfunding service provider, and does not act on your behalf towards your clients.
• Subscriptions placed through your portal are commitments between your clients and you, not with EasyHaus.

You are solely responsible for the legal structure of your offerings, for any authorisation, registration, prospectus or disclosure they require, for anti-money-laundering and know-your-customer obligations, for the accuracy of what you publish, including projected returns, and for your agreements with your clients.

• Give accurate information when you sign up and keep it current.
• Keep credentials confidential. We recommend two-factor authentication, and you can require it for all members.
• You are responsible for the actions of your members and for choosing who receives which role.
• Tell us without delay through [email protected] or the contact form at /contact if you suspect unauthorised access.

A new organization gets a free trial of 14 days without a payment method. During the trial you can have up to 3 active clients and 3 members, and 500 MB of document storage. If you do not subscribe by the end of the trial, your organization becomes read-only until you subscribe.

• Fees are US$49 per member per month and US$29 per client in active status per month, billed monthly in advance through our payment provider, Stripe.
• Seat counts follow your organization automatically. Increases are charged pro rata for the rest of the current period on the next invoice. Decreases apply from the next period, with no credit for the current one.
• Fees exclude taxes. VAT or sales tax is added where it applies, based on your billing details.
• If a payment fails, we will retry and notify you. If it remains unpaid, your organization becomes read-only until the balance is paid. Your clients can still read their portal.
• We may change fees with at least 30 days' notice by email to the owner. Changes apply from your next billing period after the notice ends.
• Fees already paid are not refundable, except where the law requires otherwise.

You own Customer Data. You give us the rights needed to host, process, transmit and display it to provide the service to you, your members and your portal users. We do not sell Customer Data and do not use it for any other purpose.

For personal data in Customer Data, you are the controller and EasyHaus is your processor. The data processing agreement at /legal/dpa forms part of these terms. You are responsible for having a lawful basis to process your clients' data and for giving them the privacy information the law requires.

Your portal shows your name and branding. It also states that the platform is provided by EasyHaus and that EasyHaus does not provide investment advice and does not hold client funds. You must not remove or contradict that statement, and you must add any regulatory notice your activities require.

You must follow the acceptable use policy at /legal/acceptable-use and make sure your members and portal users do too.

We aim to keep the service available at all times, apart from planned maintenance, which we try to schedule outside European business hours. Support is provided through [email protected] or the contact form at /contact, and we answer by email. Unless agreed in writing, no service level commitment applies.

EasyHaus and its software, design and documentation remain ours. You receive a non-exclusive, non-transferable right to use the service during your subscription. If you send us feedback, we may use it without obligation.

Each party keeps the other's non-public information confidential and uses it only for this agreement, except where disclosure is required by law.

We may suspend access if your use breaches these terms or the acceptable use policy, creates a security risk, or is required by law. We will tell you the reason and lift the suspension once the cause is resolved, unless the law prevents us.

• These terms apply from sign-up until your organization is deleted.
• The owner can cancel at any time from the billing page. The subscription ends at the end of the paid period.
• After the subscription ends, your organization is read-only and you can export your data. We keep the data for 90 days, during which you can subscribe again. After that the organization is deleted, after email reminders.
• The owner can delete the organization at any time. It can be restored for 30 days, then its data and files are purged. Encrypted backups expire on their normal rotation within 30 days.
• Either party may terminate for a material breach that is not remedied within 30 days of written notice.

We will provide the service with reasonable skill and care. Otherwise, to the extent the law allows, the service is provided as is. Calculations such as allocations, distributions, yields and returns depend on the data you enter; you are responsible for checking results before relying on them or sending them to clients.

Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill. Each party's total liability under this agreement in any 12-month period is limited to the fees you paid in the 12 months before the event giving rise to the claim. These limits do not apply to loss caused intentionally or through gross negligence, to liability that cannot be limited by law, to your payment obligations or to your obligations in section 17.

You will defend and indemnify EasyHaus against claims by your clients or by authorities arising from your offerings, your dealings with clients or your breach of applicable law, except to the extent caused by our breach of these terms.

We may update these terms. We will give at least 30 days' notice of material changes by email to the owner. If you do not agree, you may cancel before the change takes effect.

These terms are governed by the laws of the Republic of Azerbaijan, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The competent courts of the Republic of Azerbaijan in Baku have exclusive jurisdiction over disputes arising from them.
